Corporates generally are managed by a board elected by the shareholders who then appoint the professional managers to run the organization. However, different countries have different policies which differ in terms of these differences. Unilever, for example, is a British-Dutch transnational company dealing with consumer products such as beverages, beauty commodities, energy drink and food. It has its headquarters in two countries; England and the Netherlands. Unilever group has two companies, the NV and the PLC. The boards of the two are one-tier boards where there is the executive directors and also the non-executive directors (Jones et al., 122). The boards are the ones to decide on the number of both the no-executive and executive directors. The shareholders pick the directors during the general meetings of both NV and PLC.

This system is in contrary to the German system of corporate governance and the Japanese system. In the German system, employees are the main stakeholders and therefore, they participate in the management of the organization. It has two boards; supervisory board which is elected by the shareholders and one third or half of it have to be the employees of the company, and board of management which is appointed by the supervisory board. The Japanese model, on the other hand, has their boards selected by both the shareholders and the major banks. The bank is included in the management to ensure that the interest of lenders is considered.

Unilever is a company which deals with consumer products, and therefore it has several stakeholders who influence the performance of the company in one way or another. The stakeholders of Unilever comprises of the workers, investors, customers, suppliers and society (Jones et al., 126). The company prioritizes on these stakeholders, depending on their impact on the business.

The companies prioritize on the needs of the stakeholders, depending on their relevance to the company. Consumers who are well served will always want to buy from your company since they were satisfied with the quality and prices of the products. This situation will eventually lead to increased organizational revenue due to repeat sales (Lingard, 223). Employees who are satisfied due to reasonable compensation and better working conditions will always work wholeheartedly, leading to better performance. Service to the community is also useful because it helps in promoting the company. People will ever want to purchase goods from a company that believes in helping the poor or conserving the environment.

Their interests are met by targeting at producing quality goods and selling at lower prices and also the effect of the consumer products business on the environment. Unilever satisfied the needs of the customers through innovation and application of policies of quality assurance to all their products. Employees, on the other hand, are interested in immense benefits which Unilever has achieved by compensating its employees highly. The organization has achieved investors’ interests of higher profitability through expansions. The company also has a way of ensuring that the needs of the suppliers are attained. The organization keeps the Partner to win strategy to ensure that both the company and the suppliers can benefit from the engagement. Finally, Unilever has taken part in foundations, nutrition, and sanitation to ensure that they achieve the interests of the community (Lingard, 227).

Unilever plays a significant role in dealing with climate change and also in ensuring the reduced depletion of resources. It obtains its supply from sustainable sources, reduces the costs by decreasing the packaging materials and higher efficiencies in the section of manufacturing. They have also taken an initiative of making sure the forests are protected, and the global climate action is taken (Lingard, 229). Unilever has also focused on promoting sustainable agriculture by encouraging the good use of the land since part of their raw materials is farm outputs. Unilever helps the customers in recycling water and using less water and reduced energy by producing commodities with lower ecological effect.
